Welcome to Soku AI. These Terms & Conditions ("Terms") govern your access to and use of the Soku AI platform, website, APIs, and related services (collectively, the "Service") operated by About Intelligence Inc. ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
Data Use Terms. The Data Use Terms below form part of these Terms. For Customer Data, AI or product improvement, and Agency use, these Data Use Terms control over a conflicting general provision. An Order or addendum signed by About Intelligence Inc. controls over both documents for the identified Organization to the extent of a conflict.
1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Account Registration
To use certain features of the Service, you must create an account. You agree to provide accurate and complete information, keep your login credentials secure, and promptly notify us of any unauthorized access. You are responsible for all activity under your account.
3. Permitted Customer and Agency Use
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and any applicable plan or subscription. Customer may use Soku for its own business and, if Customer is an agency, to provide managed services to end clients covered by an Order or Agency Addendum. Customer may not resell or sublicense Soku as a standalone product. An Agency represents and warrants that it has authority to connect each end client's accounts, instruct the applicable processing, enable any write action it configures, and select the applicable data-use option. Each unrelated end client must use a separate Organization unless Soku agrees in writing to an equivalent client-specific boundary.
You may not:
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use the Service to build a competing product or service.
- Share account access with unauthorized third parties.
- Interfere with or disrupt the integrity or performance of the Service.
- Use the Service in violation of any applicable law or regulation.
4. Subscriptions and Billing
4.1 Plans
The Service is offered under various subscription plans, which may include free tiers, trial periods, and paid plans. Plan details, pricing, and feature availability are described on our website and may change from time to time.
4.2 Payment
Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in these Terms. We may use third-party payment processors; your use of those processors is subject to their own terms.
4.3 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We reserve the right to suspend or terminate accounts with overdue payments.
5. Your Data
5.1 Customer Data, Usage Data, and Shared Learning
"Customer Data" means data submitted, generated, uploaded, connected, or made available through the Service for Customer, including prompts, messages, files, connected data, outputs, memory, tool inputs and results, action content and outcomes, and agent traces. To the extent a log, diagnostic record, or item of Feedback contains Customer Data, those portions remain Customer Data. "Usage Data" means non-content technical, operational, security, performance, billing, and feature-use information. "Feedback" means suggestions or ideas about the Service. "Anonymous Aggregate Service Data" means statistics that contain no Customer Data and cannot reasonably be linked to a person or Organization. "Eligible Customer Data" means Customer Data not excluded from Shared Learning by these Terms or an applicable Order, law, or platform rule.
"Shared Learning" means use by Soku, directly or through service providers acting on Soku's behalf, of eligible Customer Data as training or evaluation examples for models, agents, datasets, or generalized product capabilities intended for use across Organizations. Shared Learning does not include use of Feedback that contains no Customer Data, Usage Data, Anonymous Aggregate Service Data, synthetic data generated independently of Customer Data, or operational processing reasonably necessary to provide, secure, troubleshoot, support, bill for, or measure the Service, provided Customer Data is not used as a cross-Organization training or evaluation example.
5.2 Customer license
Customer retains its rights in Customer Data and grants About Intelligence Inc. a worldwide, non-exclusive, royalty-free license, sublicensable to Soku's service providers, to host, copy, transmit, analyze, annotate, label, transform, combine, derive from, create derivative works from, display, and otherwise process Customer Data for the purposes and periods permitted by these Terms and the applicable Order: (a) to provide, operate, secure, maintain, troubleshoot, and support the Service; (b) to operate memory, retrieval, workflows, evaluations, and adaptations used only for Customer's Organization; (c) to comply with law and enforce these Terms; and (d) under Standard, to conduct Shared Learning and improve Soku models, agents, skills, and features.
5.3 Customer authorization
Customer represents and warrants that it has provided any required notices and has all rights, permissions, consents, and other authority needed for Customer Data to be processed under the data-use option that applies to the Organization, including Standard where applicable. Customer will not make data available for Shared Learning if it lacks that authority. Customer permission does not override an applicable contract, platform rule, third-party right, or law.
5.4 Standard
Unless an Order states otherwise, a direct-customer Organization is Standard. Soku may use eligible Customer Data for subsection (d), and may use Usage Data, Feedback that contains no Customer Data, Anonymous Aggregate Service Data, and qualifying synthetic data as described above.
5.5 Usage Data, Feedback, aggregate data, and synthetic data
Soku may collect and use Usage Data to operate, secure, analyze, benchmark, and improve the Service. Customer grants Soku a perpetual, irrevocable, worldwide, royalty-free right to use Feedback that contains no Customer Data for any lawful purpose. Soku may use Anonymous Aggregate Service Data, synthetic data generated independently of Customer Data, and synthetic data produced through permitted Standard Shared Learning that does not contain or reasonably reproduce Customer Data for any lawful purpose, including developing and evaluating Soku products and services.
5.6 Agency selection
If an Agency selects Standard in its Agency Addendum, Standard applies to each end-client Organization the Agency creates or administers under that Addendum unless the Agency designates that Organization as Service-Only or No-Training before connecting its data. The Agency represents and warrants that its authority covers Shared Learning for every Organization to which its Standard selection applies. If there is no applicable Agency-level or Organization-level Standard selection and authority confirmation, Soku may provide the Service but will not use that end-client Organization's Customer Data for Shared Learning.
5.7 No-Training
If an Order identifies an Organization as No-Training, Soku will not initiate new Shared-Learning processing for that Organization on or after the stated effective date, including from retained content-bearing logs, traces, and tool or action records. That date may not precede Soku's written confirmation that the exclusion is active. Soku may continue subsections (a), (b), and (c), and may use Usage Data, Feedback that contains no Customer Data, Anonymous Aggregate Service Data, and synthetic data that either was generated independently of that Organization's Customer Data or was created through permitted processing initiated before the No-Training effective date and does not contain or reasonably reproduce Customer Data. A model-provider route used for that Organization must prohibit the provider from using submitted data to train its own generalized or shared models. Unless the Order expressly states otherwise, No-Training does not require Soku to interrupt a specific training or evaluation job initiated before its effective date, or to delete, roll back, or retrain models, evaluations, or results created through such processing.
5.8 Specific Research Authorization
Customer and Soku may agree in writing to an additional or different use for a defined project or dataset. The writing must identify the Organization, data, and purpose; it supplements rather than replaces the base option for other data. Soku may use its then-current service providers acting on its behalf unless the writing states otherwise. Withdrawal stops initiation of new project processing after its effective date; it does not require Soku to interrupt a specific job initiated before that date or unwind completed processing, models, or results unless the writing or applicable law requires otherwise.
5.9 Exclusions
Soku will not knowingly use for Shared Learning data covered by an effective contractual prohibition, data that Soku or Customer is not authorized to use for that purpose, data restricted by an applicable third-party platform policy or law, or live passwords, access tokens, session cookies, private keys, and similar credentials. Customer consent does not override those restrictions.
5.10 Soku technology and completed improvements
As between the parties, Customer retains its rights in Customer Data, and Soku owns and retains all right, title, and interest in the Service and in models, model parameters, datasets, system prompts, evaluation methods, skills, workflows, and generalized improvements developed by or for Soku through permitted processing, subject to Customer's ownership of Customer Data. After termination or a No-Training effective date, Soku may continue to use models, parameters, evaluation results, Usage Data, Anonymous Aggregate Service Data, and generalized improvements created through permitted processing initiated before that date, provided they do not contain or reasonably reproduce Customer Data.
5.11 Providers and deletion
Soku may engage and change service providers and processing locations for permitted uses. A provider, region, retention, personnel-access, or similar restriction applies only if stated in an Order. Disconnecting a source account stops future access through that authorization; information already processed is handled under the Privacy Policy and applicable Order. After termination or an effective deletion request, raw Customer Data retained solely for backup, security, fraud prevention, disputes, or legal obligations will not be used for new Shared Learning.
5.12 Prospective effect and previously submitted data
These Data Use Terms govern processing conducted on or after the later of their stated effective date and Customer's affirmative acceptance, including permitted processing of eligible Customer Data then held by Soku or later received. They do not change the legal characterization of processing completed before that time. Nothing in these Terms narrows data-use rights validly granted under an earlier policy, Order, or agreement.
5.13 Third-Party Integrations
The Service may connect to third-party advertising platforms, analytics tools, and other services. When you authorize such connections, you consent to Soku AI accessing and processing data from those platforms on your behalf. We do not control and are not responsible for third-party platforms' terms or practices.
5.14 AI-Generated Outputs
The Service uses artificial intelligence to analyze data and generate insights, recommendations, and reports ("Outputs"). Outputs are provided for informational purposes and should not be treated as professional financial, legal, or strategic advice. You are solely responsible for any decisions made based on Outputs.
6. Intellectual Property
All rights, title, and interest in the Service — including its software, algorithms, models, designs, trademarks, and documentation — are and remain the exclusive property of About Intelligence Inc.. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.
7. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
8. Confidentiality
Each party agrees to keep the other party's confidential information private and not to disclose it to third parties, except as required by law or with prior written consent. Confidential information does not include information that is publicly available through no fault of the receiving party.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY OUTPUTS WILL BE ACCURATE OR COMPLETE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, About Intelligence Inc. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless About Intelligence Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party right.
12. Termination
We may suspend or terminate your access to the Service at any time if you breach these Terms or for any other reason at our discretion, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 5, 6, 9, 10, 11, and 14) will survive.
13. Modifications to Terms
Revised Terms apply prospectively from the stated effective date. We will provide additional notice of material changes when appropriate. A later revision does not by itself expand our rights to process data collected under an earlier version. After Customer affirmatively accepts the revised Terms, the revised Terms govern permitted processing conducted from that time forward, including processing of eligible Customer Data then held by Soku, except where an existing agreement or applicable law requires a different result. Nothing in a revision narrows rights validly granted earlier.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
15. General
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and About Intelligence Inc. regarding the Service.
- Severability. If any provision is found to be unenforceable, the remaining provisions remain in full force.
- Waiver. Our failure to enforce any right or provision does not constitute a waiver.
- Assignment. You may not assign these Terms without our prior written consent. We may assign our rights and obligations freely.
